Acceptance of Terms

By accessing or using Magellan CRM ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use the Service. We recommend reviewing these Terms periodically, as your continued use constitutes acceptance of any updates.

Service Description

Magellan CRM is a cloud-based customer relationship management platform designed for real estate professionals. The Service includes:

  • Contact & Pipeline Management: Tools to organize leads, clients, and deal stages throughout the sales cycle.
  • Marketing Automation: Email campaigns, drip sequences, landing pages, and social media management capabilities.
  • AI-Powered Insights: Lead scoring, predictive analytics, and intelligent workflow automation.
  • Integrations: Connections with MLS, IDX, and third-party tools to streamline your operations.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice to affected users.

Account Responsibilities

When you create an account with Magellan CRM, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security of your password and account credentials
  • Promptly notify us of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

Acceptable Use

You agree to use Magellan CRM only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service to send unsolicited messages or spam in violation of applicable laws
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Upload or transmit viruses, malware, or any harmful code
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit content that is unlawful, defamatory, or infringing on intellectual property rights
  • Exceed rate limits or use automated tools in a manner that degrades the Service for other users

Intellectual Property

The Service, including its original content, features, design, and functionality, is owned by Magellan CRM, Inc. and is protected by copyright, trademark, and other intellectual property laws.

  • Our IP: All rights in the Service, including software, logos, and documentation, remain with Magellan CRM, Inc. These Terms grant you no right to use our trademarks or brand elements without written permission.
  • Your Data: You retain full ownership of any data, content, or materials you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

Payment Terms

Paid subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. By subscribing, you agree to the following:

  • Fees are non-refundable except where required by applicable law or as stated in our refund policy
  • We may adjust pricing with at least 30 days written notice before your next billing cycle
  • Failure to pay may result in suspension or termination of your account
  • All fees are exclusive of applicable taxes, which will be added where required

You authorize us to charge your designated payment method for all recurring subscription fees. You may cancel your subscription at any time, and access will continue through the end of your current billing period.

Termination

Either party may terminate this agreement at any time:

  • By You: You may cancel your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.
  • By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay outstanding fees.

Upon termination, you may request an export of your data within 30 days. After this period, we will permanently delete your data in accordance with our data retention policy.

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Magellan CRM, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claim arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim
  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in full.

Dispute Resolution

We encourage you to contact us first at legal@magellancrm.com to resolve any disputes informally. If a dispute cannot be resolved within 30 days, the following process applies:

  • Mediation: Both parties agree to attempt resolution through mediation before pursuing arbitration or litigation.
  • Arbitration: Any unresolved dispute shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis, not as part of a class, consolidated, or representative action.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-law provisions. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas.

Changes to These Terms

We may revise these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. Material changes will be communicated at least 30 days in advance via email or a prominent notice within the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance.
